Key February 2026 Tax Deadlines for Your Business

February marks a crucial period for business owners as many year-end reporting obligations for 2025 come due. The First Hurdle: February 2, 2026 Deadlines

The beginning of the month is packed with critical due dates for forms related to employees, contractors, and various other payments made in 2025.

Forms for Your Team: W-2s and 1099-NECs

Form W-2 (Wage and Tax Statement): You must provide all employees with their 2025 Form W-2 by this date. Simultaneously, you need to file Copy A of all W-2s, along with the transmittal Form W-3, with the Social Security Administration.

Form 1099-NEC (Nonemployee Compensation): If your business paid $600 or more to independent contractors, freelancers, or other service providers in 2025, you must furnish them with a Form 1099-NEC. Other Recipient & Information Returns

By February 2, you must also provide copies of the following forms to recipients:

  • Form 1098: Mortgage Interest Statement
  • Other Forms 1099: This includes forms for reporting rent, royalties, dividends, prizes, and more. Note that for most of these, the IRS filing deadline is later (March 1 or April 1 if filing electronically).
  • Form W-2G: For payers of certain gambling winnings.

Essential Payroll & Withholding Tax Forms

Several quarterly and annual payroll tax returns for 2025 are due:

  • Form 941 (Employer's Quarterly Federal Tax Return): File for the fourth quarter of 2025 and deposit any remaining taxes.
  • Form 940 (Employer's Annual Federal Unemployment (FUTA) Tax Return): File your annual FUTA return for 2025.
  • Form 943 (Employer's Annual Federal Tax Return for Agricultural Employees): Farm employers must file to report 2025 Social Security, Medicare, and withheld income taxes.
  • Form 945 (Annual Return of Withheld Federal Income Tax): File this to report income tax withheld on nonpayroll items, such as pensions, annuities, and backup withholding.

The Grace Period: February 10, 2026 Extended Filings

Did you deposit all your employment taxes on time throughout the year? If so, the IRS gives you an extra ten days to file several key forms, including Forms 940, 941, 943, 944, and 945. This extension rewards businesses that have stayed current on their deposit obligations.

Monthly Tax Deposits

For businesses following a monthly deposit schedule, your January 2026 deposits for Social Security, Medicare, withheld income tax, and nonpayroll withholding are due today.

Employee Withholding Update

This is also the deadline to begin withholding income tax for any employee who claimed exemption in 2025 but has not submitted a new Form W-4 to continue that exemption for 2026.

Important Considerations

Weekends & Holidays: If a deadline falls on a Saturday, Sunday, or legal holiday, the due date automatically shifts to the next business day.

Disaster Relief Extensions: The IRS often provides deadline extensions for taxpayers in federally declared disaster areas. You can verify affected areas and new deadlines on the FEMA and IRS websites.
